1. Acceptance of these terms

These Terms of Use (“Terms”) govern your access to and use of the Skylance website at www.skylance.org (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to the Site only. Any consulting engagement with Skylance is governed by a separate written agreement, which controls in the event of any conflict with these Terms.

2. About Skylance

Skylance is an independent strategy practice operated by Bryan Alexandros, with offices in Austin, Texas (USA) and Bangkok, Thailand. References to “we,” “us,” and “our” mean Skylance.

3. Acceptable use of the Site

You may view and use the Site for lawful, personal, and legitimate business purposes. You agree not to:

• Use the Site in any way that violates applicable law or regulation
• Attempt to gain unauthorised access to the Site, its servers, or any connected systems
• Introduce malware, scrape at a scale that burdens the Site, or otherwise interfere with its normal operation
• Use automated means to harvest email addresses or contact details from the Site
• Misrepresent your identity or submit false information through any form on the Site

We may suspend or restrict access to the Site at any time, without notice, to protect its integrity or other users.

4. No professional advice; no engagement

Content on the Site is provided for general information only. It is not strategic, legal, financial, investment, or other professional advice, and should not be relied upon as such. Every situation is different; you should obtain tailored advice before acting.

Using the Site, submitting a form, or contacting us does not create a client, advisory, or fiduciary relationship. A relationship with Skylance arises only upon a signed written engagement agreement. Unsolicited information you send us is not treated as confidential until such an agreement is in place.

5. Intellectual property

The Site and its contents — including text, graphics, logos, the Skylance name and marks, layout, design, and code — are owned by Skylance or its licensors and are protected by intellectual property laws. “Skylance” is a trademark of Skylance, Inc.

You may view and print Site content for your own non-commercial reference. You may not reproduce, republish, distribute, modify, or create derivative works from Site content without our prior written consent. All third-party marks, logos, and names mentioned on the Site are the property of their respective owners and are used for identification purposes only.

6. Third-party links

The Site may contain links to third-party websites (for example, LinkedIn or Zynolabs). We provide these for convenience and do not control, endorse, or take responsibility for the content, policies, or practices of any third-party site. Accessing linked sites is at your own risk and subject to their terms.

To the fullest extent permitted by law, Skylance disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, secure, error-free, or free of harmful components.

To the fullest extent permitted by law, Skylance and its founder, personnel, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Site — whether based in contract, tort, or any other legal theory, and even if advised of the possibility of such damages.

Where liability cannot be excluded, our total aggregate liability arising from or related to the Site is limited to USD 100.

You agree to indemnify and hold harmless Skylance and its founder, personnel, and contractors from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms.

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Please review them to understand how we handle your information.

11. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.

Where you access the Site from Thailand or elsewhere, mandatory consumer-protection rights available to you under your local law are not affected by this clause.

12. Changes to these terms

We may update these Terms from time to time. If changes are material, we will note the new effective date at the top of the page. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
